SERVICES AGREEMENT

TradieWives

TradieWives means the business trading as TradieWives ABN 13 570 404 594

 (referred to in this Agreement as TradieWives)

 

The Business Academy Member

The Business Academy Member is a customer who has agreed to purchase the Services.

(referred to in this Agreement as the Business Academy Member)

 

PURPOSE OF THIS DOCUMENT

This document contains the Terms & Conditions relating to the services TradieWives provides to the Business Academy Member.

 

TERMS & CONDITIONS:

  1. DEFINITIONS
    • “Account” means the customer account created by the Business Academy Member on the Site which gives it access to the Services.
    • “Agreement” means this Services Agreement.
    • “Christmas holiday period” means the period between 24 December and 2 January each year.
    • “Commencement Date” means the date of commencement of the Services which occurs on payment of the Fee.
    • “Fee” means the price for the Term, selected by the Business Academy Member, as set out on the Site.
    • “Intellectual Property Rights” includes trademarks, patents, copyrights, processes know-how, registered designs or other like rights or any right to apply for registration of any of the former.
    • “Loss” includes, but is not limited to, costs (including all legal costs paid or payable by TradieWives on a full indemnity basis), expenses, lost profits, award of damages, personal injury and property damage.
    • “Services” means the services provided by TradieWives as part of its Business Academy which comprises:
      • Access to an exclusive Facebook community;
      • Weekly zoom group meetings (excluding public holidays and the Christmas holiday period);
      • Access to the TradieWives Toolbox/e-learning hub which includes training resources, business education and support relevant to tradies businesses.
      • Access to professional services directory partners (such as accountants, HR and employment specialists, digital and marketing specialists, lawyers) including direct access to their booking systems;
      • Monthly or bi-monthly masterclasses with industry experts.
    • “Site” means the website https://members.tradiewives.com.au/login-website/
    • “Term” means the duration of the Agreement, as selected by the Business Academy Member on the Site when they create their Account, which is either:
      • 1 month;
      • 6 months; or
      • 12 months.
    • “Terms & Conditions” means the Terms & Conditions in this Agreement.
  1. AGREEMENT TO PROVIDE SERVICES
    • The agreement is formed when the Business Academy Member accepts the Terms & Conditions when creating their Account.
    • TradieWives may make changes to these Terms & Conditions from time to time. In the event of any change, TradieWives will notify the Business Academy Member of the change by email and the new terms will apply.
  1. SERVICES
    • TradieWives will provide the Services to the Business Academy Member, subject to the terms of this Agreement.
    • TradieWives will provide the Services to the Business Academy Member using its employees, contractors and/or third parties.
    • TradieWives warrants that it will use reasonable care and skill in performing the Services.
    • The Business Academy Member will access the Services through the Site, Facebook Page, online Zoom sessions and any other means directed by TradieWives.
    • The Business Academy Member will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).
    • The Business Academy Member is responsible for keeping confidential the password for the Account which is used to access the Services. The Business Academy Member is responsible for all activities that occur under their Account.
    • Weekly zoom meetings will be held at times advised by TradieWives and it is the responsibility of the Business Academy Member to attend these meetings.
  1. FEES
    • In consideration of the provision of the Services, the Business Academy Member will pay the Fee for the selected Term.
    • The Fee for the selected Term is payable when the Business Academy Member creates an Account on the Site.
    • The Business Academy Member must pay the Fees by Credit Card, PayPal or any other payment method accepted on the Site.
  1. THIRD PARTY SERVICE PROVIDERS
    • Part of the Services includes access to third party service providers through professional services directory and masterclasses. TradieWives does not provide any recommendations with respect to the third party service providers and makes no warranty or representation about the quality of any third party service providers. 
    • TradieWives expressly disclaims all responsibility and liability for any Loss that you or any third party suffer in connection with the use of or reliance upon information or services received from such third party service providers. 
  1. USE OF BUSINESS ACADEMY INFORMATION
    • The Business Academy Member must not:
      • use the Services for any purpose which is directly or indirectly in competition with the Services or TradieWives;
      • reproduce, duplicate, copy, attempt to create a substitute or similar service to, sell, trade or resell the Services for any purpose.
    • If the Business Academy Member breaches this clause, then the Business Academy Member agrees to pay to TradieWives as liquidated damages, a sum equal to $500 per week which may be attributable to loss arising by reason of future customers to TradieWives.
    • The liquidated damages claimed in this clause is without prejudice to the rights of TradieWives to claim, in the alternative, such damages as it may establish that it has suffered through loss of business of customers.
    • This clause survives termination or the expiry of this Agreement.
  1. TERMINATION
    • In the event the Business Academy Member breaches any of these terms, TradieWives may suspend or terminate the Business Academy Member’s Account without prior notice.
    • Upon termination, the Business Academy Member is not entitled to a refund of any Fees.
  1. LIMITATION OF LIABILITY
    • Except as expressly provided under this Agreement, to the maximum extent permitted by law, TradieWives excludes all other warranties, terms, conditions, undertakings, representations and consumer guarantees (express, implied, statutory or otherwise).
    • To the maximum extent permitted by law, TradieWives is not liable to the Business Academy Member in any circumstance for any indirect, economic, special, or consequential loss, or for the loss of revenue, loss of production, loss of profit or loss of data, arising out of or in connection with the Business Academy Member ‘s use of the Site or Services.
    • In the event of any claim by the Business Academy Member against TradieWives (including pursuant to any condition, warranty or guarantee implied by law), TradieWive’s liability is limited, at TradieWive’s sole discretion, to either the re-supply of the Services or the payment of the cost of having the Services supplied again.
    • Any advice, recommendation, information, assistance or service given by TradieWives in relation to the Services, is given in good faith and is believed to be accurate, appropriate and reliable at the time it is given. It is provided without any warranty or accuracy, appropriateness or reliability. TradieWives does not accept any liability or responsibility for any Loss suffered as a result of the Business Academy Member’s reliance on such advice, recommendation, information, assistance or service.
    • TradieWives is not liable to the Business Academy Member for any delay or delays in the provision of the Services.
  1. INTELLECTUAL PROPERTY RIGHTS
    • TradieWives owns all Intellectual Property rights in the Services, including any writing, images or recordings produced by Business Academy Members as part of the Services.
    • Nothing in this Agreement constitutes an assignment or transfer of any of TradieWive’s Intellectual Property rights, or a right to use our intellectual Property, whether registered or not registered, except as stated in this Agreement.
    • The Business Academy Member must not breach TradieWive’s Intellectual Property rights including by:
      • altering or modifying TradieWives Intellectual Property;
      • creating derivative works from the Intellectual Property; or
      • using TradieWives Intellectual Property for commercial purposes such as on-sale to third parties.
    • This clause survives termination or the expiry of this Agreement.
  1. USE OF WEBSITE
    • When accessing and using the Site, the Business Academy Member agrees to be bound by the terms of use of the Site as may be amended from time to time and accessible from the home page of the Site or directly via this https://members.tradiewives.com.au/login-website/
    • TradieWives may make improvements or other changes to the Site at any time without prior notice.
  1. PRIVACY
    • TradieWives is subject to the Privacy Act 1988 (Cth)(“Privacy Act”) which governs how TradieWives deals with personal information.
    • TradieWives has a Privacy Policy that provides further information regarding the collection, storage, use and disclosure of personal information, including how individuals may:
      • access any of their personal information held by TradieWives;
      • seek to have that personal information corrected; and
      • complain if they feel that any personal privacy has been breached, along with information on how the complaint will be dealt with.
    • The Business Academy Member can access TradieWive’s Privacy Policy from the home page of the Site or directly via this https://members.tradiewives.com.au/login-website/
  1. MISCELLANEOUS
    • This document constitutes the entire agreement between TradieWives and the Business Academy Member for the provision of Services. This Agreement cannot be varied unless TradieWives agrees to vary it in writing.
    • Each of the Parties acknowledge that, in entering into this Agreement, it does not do so in reliance on any representation, warranty or other provision except as expressly provided under this Agreement.
    • The Business Academy Member acknowledges that TradieWives may identify it as a customer on its Site, marketing materials, Facebook pages, blogs or other public communications.
    • This Agreement shall be governed by and construed in accordance with the laws of New South Wales, and the Business Academy Member and TradieWives submit to the exclusive jurisdiction of its courts.
